Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the BusinessAI website and automation services. By accessing or using our services, you confirm that you are at least 18 years old and agree to be bound by these Terms.

If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Our Services

BusinessAI provides AI-powered business automation consulting and implementation services. This includes workflow design, integration setup, ongoing optimization, and related support.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation.

3. Client Responsibilities

When engaging with our services, you agree to:

• Provide accurate and complete information during onboarding and throughout the project.
• Grant necessary access to tools, platforms, and systems required for automation implementation.
• Respond to requests and feedback in a timely manner to avoid project delays.
• Use our services only for lawful purposes and in compliance with all applicable regulations.

4. Payments & Billing

Service fees are outlined in individual proposals or service agreements. Unless otherwise stated:

• Payments are due within 14 days of invoice date.
• All fees are quoted in USD and are non-refundable once work has commenced, unless otherwise agreed in writing.
• Recurring service plans are billed monthly and can be cancelled with 30 days written notice.
• Late payments may incur a fee of 1.5% per month on the outstanding balance.

5. Intellectual Property

All custom automation workflows, configurations, and deliverables created specifically for your project are owned by you upon full payment. However:

• BusinessAI retains ownership of proprietary tools, templates, and methodologies used in the delivery of services.
• We may use anonymized case studies and results from your project for marketing purposes, unless you opt out in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business processes, technical configurations, financial data, and strategic plans. This obligation survives the termination of the agreement for a period of two years.

7. Limitation of Liability

To the maximum extent permitted by law, BusinessAI shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid by you for the services in the preceding 12 months.

We do not guarantee specific business outcomes, revenue increases, or time savings, as results depend on many factors beyond our control.

8. Termination

Either party may terminate the service agreement with 30 days written notice. Upon termination:

• All outstanding fees become immediately due.
• We will provide a reasonable transition period to hand over deliverables and documentation.
• Access to any shared tools or platforms will be revoked after the transition period.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in accordance with standard commercial arbitration rules.

10. Changes to Terms

We reserve the right to update these Terms at any time. Changes take effect when posted on this page. Continued use of our services after changes constitutes acceptance of the revised Terms. For material changes, we will provide at least 30 days advance notice.
